Legally speaking this was an agreement (and it turns out it was indeed a commercial transaction) between two or so entities: where a offer and acceptance were concluded. What we now know is that there was consideration as well an exchange of money for the promise of transferring the instruments of power, (a squid pro quo undertaking) which consummated the contractual arrangements. From a contractual point of view the only reason the law should come in is to arbitrate the failure of one party to live up to the letter and spirit of the contract. But it might also be a decision of the law to also decide whether this is equally a constitutional matter. Thus far, compliance with constitutional provision can be questioned, and judicial review commissioned to bring justice to the aggrieved party. In this case, a good citizen with a legitimate interest in the matter should challenge. This story is not over yet. For those of us who are neutral/objective and keen observers of our constitutional development issues these are exciting and challenging times.
While a certificate of incorporation may serve to prove that relevant due diligence was exercised, it does not necessarily mean that it was fair and just. That is why legally speaking a judicial review of the decision can be brought to bear on the the outcome of an administrative decision can be and should indeed be contested if it is flawed in law and application.
